BEMA Health and Safety Packages – Terms and Conditions

These Terms and Conditions (“Terms”) govern the provision of all health and safety packages, training materials, and consultancy services (“Services”) supplied by BEMA (“we”, “us”, “our”) to the client (“you”, “your”).
By purchasing or engaging with our Services, you agree to these Terms.
1. Scope of Services
1.1. BEMA provides health and safety packages which may include (but are not limited to):
- Online and classroom training courses
- Digital and printed training materials
- Compliance support and advisory services
- Bespoke policy and procedure development
1.2. The specific Services provided will be detailed in your proposal, quotation, or package selection.
1.3. Any additional or customised work requested outside the agreed scope will be subject to additional charges.
2. Fees and Payment
2.1. All fees will be confirmed in writing prior to commencement of Services.
2.2. Payment terms are payment up front or according to the written agreement.
2.3. Late payments may incur interest at 5% per annum above the Bank of England base rate and/or result in suspension of Services.
2.4. Prices are exclusive of VAT unless stated otherwise.
3. Delivery of Services
3.1. We will deliver Services in accordance with agreed timelines.
3.2. While every effort is made to meet deadlines, BEMA shall not be held liable for delays due to circumstances beyond our control.
3.3. Access to digital materials or online courses will be granted once payment has been received in full.
4. Client Responsibilities
4.1. You are responsible for providing accurate and complete information necessary for us to deliver the Services.
4.2. You must ensure that participants attending training sessions meet any stated prerequisites.
4.3. You are responsible for implementing any advice or recommendations provided through our Services.
5. Cancellations and Refunds
5.1. Cancellations must be made in writing.
5.2. Cancellation charges may apply as follows:
- More than 14 days before the start date: no charge.
- Between 7–14 days: 50% of the total fee.
- Less than 7 days: 100% of the total fee.
5.3. No refunds will be issued for partially completed or unused training packages once access has been provided.
6. Intellectual Property
6.1. All training materials, documents, and content provided by BEMA remain our intellectual property.
6.2. You are granted a non-transferable, non-exclusive licence to use materials solely for internal training and compliance purposes.
6.3. Reproduction, resale, or redistribution without written consent from BEMA is strictly prohibited.
7. Confidentiality
7.1. Both parties agree to maintain confidentiality regarding all proprietary or sensitive information shared during the course of the Services.
7.2. This obligation continues after the completion or termination of the agreement.
8. Liability
8.1. BEMA will deliver all Services with reasonable skill and care in accordance with applicable laws and professional standards.
8.2. Our liability for any claim arising from our Services shall be limited to the total amount paid for the specific Service in question.
8.3. BEMA shall not be liable for indirect, incidental, or consequential losses, including loss of profit or business interruption.
9. Data Protection
9.1. We process personal data in accordance with the UK General Data Protection Regulation (GDPR).
9.2. Details on how we collect, store, and process data are set out in our [Privacy Policy].
10. Termination
10.1. Either party may terminate the agreement with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of notification.
10.2. Upon termination, all outstanding fees shall become immediately payable.
11. Governing Law
11.1. These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales.
11.2. The parties agree to submit to the exclusive jurisdiction of the English courts.
12. Amendments
12.1. BEMA reserves the right to update these Terms at any time. Updated Terms will be published on our website and will take effect immediately upon posting.
